In these terms, "PathVane", "the Service", "we", "us", and "our" refer to Formiti Data International, operating the PathVane product on behalf of Formiti Brand.

By accessing or using PathVane, creating an account, starting a trial, or purchasing a subscription, you agree to these Terms & Conditions. If you use PathVane on behalf of a business, team, or other organisation, you confirm that you have authority to bind that organisation to these terms.

If you do not agree to these terms, you must not use PathVane.

PathVane is a software service designed to help users capture work evidence, organise entries against objectives, and prepare review-related material such as self-reviews, promotion evidence, and related draft outputs. Access is provided on a hosted, subscription basis rather than by transferring ownership of software.

Features may change over time as the service evolves. We may update, improve, suspend, or remove features where reasonably necessary for maintenance, security, legal compliance, or product development.

You must be at least 18 years old and legally capable of entering into a binding agreement to use PathVane. You must provide accurate, current, and complete information when creating an account and keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that takes place through your account, except to the extent caused by our own failure to maintain appropriate security.

You must notify us promptly if you believe your account has been accessed without authorisation.

PathVane may be offered on a free trial, paid subscription, or other commercial basis described on our website or checkout flow. The details of your plan, including price, billing interval, included features, and trial terms, will be presented to you before you subscribe.

Payments are processed through Stripe, our payment provider. Stripe processes payment information under its own terms and privacy notice. We do not store full payment card details ourselves.

Unless stated otherwise at the point of purchase:

• subscriptions renew automatically at the end of each billing period;
• you authorise us and our payment processor to charge the relevant subscription fee and any applicable taxes;
• you may cancel renewal before the next billing date to avoid future charges;
• fees already paid are non-refundable except where required by law or expressly stated otherwise.

Where required for UK VAT or invoicing purposes, billing and invoice records may be retained for legal and accounting compliance.

You must use PathVane only for lawful purposes and in accordance with these terms. You must not:

• use the Service in a way that breaches any applicable law or regulation;
• interfere with or disrupt the integrity, security, or performance of the Service;
• attempt to gain unauthorised access to any system, account, or data;
• upload malicious code, malware, or harmful content;
• use the Service to infringe the intellectual property, privacy, confidentiality, or other rights of any person;
• resell, rent, sublicense, or exploit the Service in a way not expressly permitted by us;
• use automated means to scrape, copy, reverse engineer, decompile, or derive source code from the Service except where the law expressly permits it.

You retain ownership of the content you submit to PathVane, including journal entries, objectives, drafts, attachments, and similar materials, subject to any rights that may belong to third parties. However, you grant us a limited, non-exclusive licence to host, process, transmit, store, back up, and display that content only as necessary to provide, secure, maintain, and improve the Service.

You are responsible for ensuring that you have the right to upload and use any content you submit, and that your content does not breach any law, confidentiality obligation, or third-party right.

PathVane may provide draft summaries, draft self-reviews, suggested wording, or other system-generated outputs based on the information you provide through the Service. These outputs are provided as tools to assist you and should be reviewed, edited, and validated by you before use.

You remain responsible for the accuracy, completeness, legality, and appropriateness of any content you submit, export, share, or rely on from PathVane.

All intellectual property rights in PathVane, including the software, design, branding, interfaces, documentation, and underlying technology, belong to us or our licensors and are protected by applicable intellectual property laws. Your subscription or use of the Service does not transfer ownership of PathVane or any part of it to you.

Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal personal or business use during the applicable subscription period.

We aim to make PathVane available with reasonable care and skill, but we do not guarantee that the Service will always be uninterrupted, error-free, or available at all times. Scheduled maintenance, emergency maintenance, third-party outages, internet failures, and security events may affect availability.

Where support is offered, it will be provided in accordance with the support channels and service levels described on our website or plan details.

We may suspend or terminate your access to PathVane immediately where reasonably necessary, including where:

• you materially breach these terms;
• payment is overdue and remains unpaid after notice where appropriate;
• your use poses a security, legal, or operational risk;
• we are required to do so by law or by a competent authority.

You may stop using the Service at any time. If you have a paid subscription, cancellation will usually take effect at the end of the current billing period unless otherwise stated in your plan.

Termination or suspension does not affect rights and obligations that accrued before the termination date.

Our handling of personal data is described in the PathVane Privacy Notice. Where we use third-party providers such as Stripe for payments, Cloudflare Pages for site publishing, or Postmark for transactional emails, those services may process personal data as part of delivering the Service.

You are responsible for ensuring that any personal data you submit to the Service is submitted lawfully and in accordance with applicable privacy and confidentiality obligations.

PathVane is provided on an "as is" and "as available" basis to the fullest extent permitted by law. While we aim to provide a reliable and useful service, we do not warrant that PathVane will be uninterrupted, error-free, suitable for every purpose, or that any generated drafts or outputs will be complete, accurate, or appropriate without user review.

Nothing in these terms excludes any warranty or right that cannot lawfully be excluded under applicable law.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to that, and to the fullest extent permitted by law:

• we are not liable for indirect, incidental, special, or consequential loss, or for loss of profits, revenue, business, goodwill, anticipated savings, or data;
• we are not liable for loss arising from your misuse of the Service, failure to keep credentials secure, or reliance on drafts or generated outputs without appropriate review;
• our total aggregate liability arising out of or in connection with the Service will not exceed the total fees paid by you to us for PathVane in the 12 months preceding the event giving rise to the claim, or, if no fees have been paid, £100.

We may update the Service and these terms from time to time. Where changes to these terms are material, we will take reasonable steps to notify you, such as by posting the revised terms on the website or notifying you through the Service or by email. Your continued use of PathVane after the effective date of updated terms constitutes acceptance of the revised terms.

These terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, unless applicable consumer law provides otherwise.
